YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. BY ACCESSING, DOWNLOADING, OR USING THE DIGITAL CONTENT PROVIDED BY PROJECT DESIGN (IO) LTD (“CONTENT”), YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND YOURSELF OR YOUR COMPANY TO THESE TERMS AND CONDITIONS.

1. LICENSES & DELIVERY.

  1. This License Agreement is to be read and interpreted in conjunction with PROJECT DESIGN (IO) LTD’s Digital Content Terms and Conditions, which can be accessed on our website. These Digital Content Terms and Conditions provide additional regulations and guidelines concerning the use, distribution, and intellectual property rights of digital content provided by PROJECT DESIGN (IO) LTD. By agreeing to this License Agreement, the user also acknowledges and agrees to comply with the Digital Content Terms and Conditions.
  2. License Grant. PROJECT DESIGN (IO) LTD hereby grants you a limited, nonexclusive license to access and use the Content without the right to sublicense. The Content may include, but is not limited to, digital files, designs, drawings, and documentation.
  3. Restrictions on Content Rights. You agree not to: (a) modify, create derivative works from, distribute, publicly display, publicly perform, or sublicense the Content; (b) use the Content for service bureau or time-sharing purposes or in any other way allow third parties to exploit the Content; or (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive any of the Content’s source code.

2. IP RIGHTS:

  1. PROJECT DESIGN (IO) LTD retains all rights, title, and interest in and to the Content. You recognize that the Content and its components are protected by copyright and other laws.

3. INDEMNIFICATION

  1. You agree to indemnify, defend, and hold harmless PROJECT DESIGN (IO) LTD from and against any claims, liabilities, losses, damages, causes of action or injuries, together with costs and expenses, including reasonable attorneys’ fees, arising out of your breach of this Agreement.

4. LIMITATION OF LIABILITY

  1. Pound Cap. PROJECT DESIGN (IO) LTD’S LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE CONTENT IF ANY, EXPRESSED IN BRITISH POUNDS.
  2. Exclusion of Consequential Damages. IN NO EVENT WILL PROJECT DESIGN (IO) LTD BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT. 

5. MISCELLANEOUS

  1. Assignment & Successors. You may not assign this Agreement or any of its rights or obligations hereunder without PROJECT DESIGN (IO) LTD’s express written consent.
  2. If a provision of this Agreement is held to be invalid or unenforceable, such provision will be interpreted to fulfil its intended purpose to the maximum extent permitted by applicable law, and the remaining provisions will continue in full force and effect.
  3. Choice of Law & Jurisdiction. This Agreement will be governed by the laws of the jurisdiction where PROJECT DESIGN (IO) LTD is located.
